Overview

Consensus displays reviews, ratings, other user-generated content, and information on topics related to business and management consulting for the purpose of informing our users and permitting users to provide their own input and reviews.

Users are solely responsible for any content they post on Consensus. Consensus, its parent, and affiliates are not responsible for users’ content and are not the publishers of users’ content.

This Terms of Use constitutes the agreement between user and Consensus, its parent company, and affiliates. Use of Consensus explicitly implies user’s agreement to adhere to these Terms of Use as of date of use. Consensus, its parent company, and affiliates reserve the right to make updates to this Terms of Use, and users are responsible for checking for updates.

Governing Law

By using Consensus, user consents to the Terms of Use contained herein and agree that the laws of Colorado shall govern all matters arising from any usage of Consensus.

Without regard to conflict of law provisions, user agrees to submit and consent to the personal and exclusive jurisdiction in, and the exclusive venue of, the state and federal courts located within the City and County of Denver, Colorado.

Regardless of any law or statute to the contrary, any legal claim or cause of action arising from the use of or content contained within Consensus must be filed within one (1) year after such claim arises or shall be forever barred.

Account

Users warrant they are at least 18 years of age.

Users agree to use Consensus for personal, non-commercial use only, unless specifically agreed to under a separate agreement.

Users may view limited information on Consensus without creating an account, however, users who do create an account must provide a valid email address at which we can communicate with the user.

Users agree to keep accurate and complete information in their profiles, including contact information.

Users must use a confidential password with their account and are responsible for the maintenance and security of login credentials. Users must alert Consensus via the Contact Us Page if they believe their password has been compromised.

Users agree to accept responsibility for all activities which occur under their account.

Further, users may not:
- Impersonate another person or party;
- Create user accounts under false or fraudulent pretense or for anyone other than user; or
- Create multiple accounts to post duplicative reviews of a single engagement.

We may remove an account for any reason, and we will alert the account owner of the removal via the provided email.

If user has used a third-party login, such as Facebook or LinkedIn, the relationship with that third party is managed entirely by user’s agreement with that third party.

Other users cannot view your account information, including previously submitted reviews, contact information, or name.

Account Termination

If a user repeatedly infringes on these Terms of Use, Consensus may at its discretion choose to terminate access for that user temporarily or permanently.

You may terminate your account at any time by emailing info@consensus.stag71.netsmartz.us.

Content

Consensus collects, reviews, aggregates, and publishes content from third parties including its users, online sources, and other sources of information.

Content includes, but is not limited to, reviews, articles, logos, photos, addresses, contact information, advertisements, comments, or other material found on Consensus.

While Consensus will review every post before it is published, we cannot guarantee the accuracy or reliability of third-party content and do not endorse any such content.

Consensus is not responsible for any inaccurate, misleading, or unlawful content published on Consensus, and in accordance with Section 230 of the Communications Decency Act (47 U.S.C. § 230), Consensus, its parent, and affiliates cannot be held liable for claims arising from content provided by third parties on Consensus.

We allow users to publish reviews and information for consulting companies and consultants with which they have engaged with on past or current projects. We will not disclose, unless legally required, any information we have collected about our users to any party, including any consulting firms for which that review has been written.

Users agree they will use Consensus only for lawful purposes and follow any and all applicable laws and regulations.

Users are solely responsible for the content they provide on Consensus and agree to indemnify Consensus of all liability for such content.

Users may not duplicate, publish, modify, or distribute any content contained on Consensus for which user was not the original author without express written consent from Consensus.

The content on Consensus is intended for individual use and may not be used for commercial activities.

Users may not submit content which will be knowingly harmful, including but not limited to software, viruses, code, or inadequate files, to the Consensus platform or any of its affiliates.

Users will not attempt to reverse engineer, harm, deactivate, or interfere with the Consensus platform.

Users may not collect or scrape any content from Consensus, including but not limited to personally identifiable information, user contact information, intellectual property, and any user-generated content on the site.

Any use of content from Consensus, including articles, reviews, or profile information, must be properly credited and linked back to the original source on Consensus.

Review & Content Submission

All user-generated reviews are vetted before publication, and Consensus only publishes those reviews which adhere to these Terms of Use.

Consensus may choose to use all, some, or none of the content included in a user review submission.

User agrees that all content submitted consists of the first-hand, true, accurate and not misleading opinions of the user.

User certifies that, if user was offered an incentive in exchange for providing a review, this offer did not influence the content of the review.

Users agree they may expose themselves to liability if their content violates any of our Terms of Use, applicable laws or third-party rights. Through submission, users agree all content and material is permitted to be shared by the user and is not bound to privacy by any proprietary information, confidentiality or non-disclosure agreements. Please note that the publication of opinions regarding a provider’s performance is Constitutionally protected.

Further, users may not:
- Submit any content which violates these Terms of Use
- Impersonate any other person or entity user is not authorized to represent
- Submit reviews of direct competitors of user at time of content submission
- Submit reviews for any organization user has any ownership interests in, serves on any board of, is employed by, or receives any compensation from
-Submit content which user is not authorized to post by means of lawful and enforceable agreements
- Submit content which is defamatory, tortious, fraudulent, obscene, abusive, offensive, distasteful, invasive, or intentionally misleading
- Submit content containing personally identifiable information of anyone other than user
- Submit opinions or viewpoints of others which are not expressly those of the user
- Submit any confidential information or trade secrets

By submitting content, including user reviews, the user grants Consensus, its parent, and any affiliated entity an unlimited and exclusive license to use, modify, distribute, summarize, reproduce, remove, create derivative works of, or publish the content. Submission of such content will grant the above rights as well as world-wide, royalty-free title to the content and all associated intellectual property rights to the content.

Additionally, by submitting content, users grant Consensus and any affiliates the right, but not obligation, to permit or prohibit the subsequent aggregation, display, duplication, or exploitation of such content.

If user wishes to add to or otherwise edit a previously submitted review, user may not create a separate review but must edit the original review by accessing it through the Account page.

User Rights Protection

Users are reminded that posting a false statement of fact violates these Terms of Use and may expose the user to legal liability for defamation or other claims. Consensus, its parent company and affiliates cannot guarantee that posting will not expose the user to legal liability and expressly disclaim any obligation to indemnify any user for any content they submit.

Some service providers may execute contracts with clients and other business partners containing anti-disparagement provisions, which are intended to prohibit public reviews of performance. These provisions are unlawful as indicated on our FAQs page.

If a service provider feels a user’s review has violated a contract, any other terms mentioned in this section of these Terms of Use, or is otherwise unlawful, it may decide to pursue legal action and request Consensus provide personal information about the user.

Consensus will attempt to notify an affected user if it receives a subpoena or other request for that user’s identifying information.

Consensus, while it has no obligation to do so, reserves the right to take appropriate action to protect the anonymity of its users against subpoenas or other requests for identifying information and generally requires a binding court order before releasing identifying information of any user pursuant to a civil subpoena.

Consensus may disclose personally identifying information about users where it believes that disclosure is necessary to comply with relevant statutes or court orders (either civil or criminal); to prevent physical harm or financial loss; to enforce Consensus’ Terms of Use; and when deemed otherwise necessary.

Limitation of Liability

Neither Consensus, its parent, or any affiliates shall be held liable for any direct, indirect, incidental, special, punitive, consequential, or exemplary damages related to the use of Consensus or affiliated products or services, including but not limited to loss of profit, goodwill, use, or other intangible losses, even if we have been advised of the possibility of such damages.

Any usage of, partnership with, or any relationship, business or otherwise, with any service providers listed on Consensus are between user and service provider and do not involve Consensus, its parent, or any affiliates.
Consensus, its parent, and affiliates shall not be held liable in any manner for disputes arising between users of its products and services. By using Consensus, users release Consensus, its parent, and affiliates from all claims arising from such disputes.

If this limitation of liability is held to be unenforceable, the aggregate liability of Consensus, its parent, or any affiliates shall be limited to direct damages incurred up to one hundred U.S. dollars ($100 USD).

User understands that Consensus does not guarantee the site will be available, active, or without error at all times. Consensus will work to make sure interruptions to service are minimal.

Third Party Discovery

By using Consensus, users agree to waive rights to file a pre-suit discovery proceeding seeking a user’s identifying information from Consensus.

Indemnification

Users agree to indemnify Consensus, its parent, and any affiliates from and against any third-party claims, demands, losses, or liabilities, including but not limited to reasonable attorney’s fees.

Consensus IP

All content contained on and within the Consensus website and platform is property of Consensus, its affiliates, and authorized licensors and is protected by U.S. and international copyright law.

Viewing and downloading any content from Consensus does not grant any intellectual ownership rights to the user and such content is only permitted for personal and non-commercial use.

Anti-Disparagement Claims

Users and recipients, including firms and individuals, of content on Consensus agree to abide by all legally binding terms in the Consumer Review Fairness Act (“CRFA”), 15 U.S.C. § 45b, which protects the public's ability to share honest opinions about a business’s products, services, conduct, in any forum, including online.

Any contract clause which contains anti-disparagement verbiage prohibiting public reviews is in violation of the CRFA and is likely to be deemed unenforceable.

In order to ensure reviews are protected, users should not submit any content, including reviews, which:
- Contains confidential information;
- Is libelous, harassing, abusive, obscene, vulgar, sexually explicit, or is inappropriate with respect to race, gender, sexuality, ethnicity, or other intrinsic characteristics;
- Is unrelated to the company’s products or services; or
- Is clearly false or misleading..

Privacy Policy

Consensus takes privacy security seriously and will comply with applicable data and privacy laws. Consensus only collects data voluntarily submitted by users and will not sell or rent this information to external parties.

By using Consensus, user agrees that we may collect personal information from user. When users provide information and content on the site, they consent to the collection, storage, and use of their information by Consensus, its parent, and affiliates.

Consensus uses cookies and other web technologies to collect information about users’ activity while visiting Consensus to improve our users’ experiences, for instance to identify repeat users and forgo repeat logins.
Consensus does not control these third-party technologies.

To improve users’ experiences, Consensus collects information from all user types, including during site visits, registration, communications, and content submissions.

Consensus collects this information to:
- Enhance the user experience;
- Improve the layout, features, content, and administration of Consensus;
- Execute the requests of that user;
Initiate or respond to communications with user;
- Review and publish user-generated content after user submission;
- Identify trends and conduct research on specific topics, content, or other parties;
- Measure and notify users of interest in specific topics, content, or other parties;
- Resolve issues;
- Prevent prohibited activity; and
- Enforce policies pursuant to these Terms of Use.

Consensus may aggregate and anonymize user behavior or content to create, analyze, and / or publish content or otherwise inform users or the public about topics in line with our product or services. This information is not linked to any personal information of any user.

If using social media logins on Consensus, we will receive basic, necessary information from those third parties to set up and verify user’s account. Any agreements between user and social media sites is governed by that relationship, and Consensus, its parent, and affiliates shall not be held liable for any claims arising from that relationship.

If user opts to access social media or other third-party sites through Consensus, information may be shared with those parties under their privacy policies. Consensus is not responsible for the content or privacy of other sites, and users are advised to review those parties’ policies.

Consensus may also obtain general, publicly available information about users from partners and third parties.

Consensus may contain links, graphics, content, or information from external or third-party websites or companies over which Consensus has minimal or no control. By using Consensus, users agree that Consensus is not liable for any loss or damage incurred as a result of any actions or omissions of those third parties.

Children

This service is intended for users at least 18 years of age. We do not knowingly collect personal information from children, including those under 13 years of age. If user believes a child under the age or 18 has provided Consensus with personal information, please disclose content including links and any other information via the Consensus Contact Us Page.

Security

By using Consensus, you understand and accept general risks associated with online data and communications, including risk of exposure to unauthorized access by third parties. Consensus makes reasonable efforts to ensure the security of all users’ data and information.

Email & Communications

By setting up an account, submitting an inquiry, or contacting us via email, user consents to receive email and other electronic communications from Consensus, its parent, and its affiliates.

Visiting from Outside U.S.

If user is visiting our site from outside the United States, the user agrees that information may be stored and used in the U.S. where our servers our located.

Disclosure of Information

In order to improve and develop its business, Consensus, its parent, or affiliates may engage in partnerships, acquisitions, or divestitures. In such transactions, user information, including profile and content are considered business assets and may be transferred to or between parties involved in such transactions. Usage of Consensus implies consent of this potential transfer of user information.

Severability

In the event specific provisions in this Terms of Use are deemed void or unenforceable under applicable law, that term(s) will be deemed severable temporarily and will not affect the validity and enforceability of all other provisions in this Terms of Use.
